Reporting to the Sr. Corporate Counsel II, the Contracts Counsel will provide comprehensive legal services and guidance to Abeona Therapeutics. In this role, the successful candidate will focus on drafting, negotiating, and managing complex healthcare-related contracts, as well as other business transactions essential to the operations of our company. The Contract Counsel will also manage Abeona Therapeutic’s contracts repository and assist the legal team with the contract execution process. The ideal candidate will possess strong legal acumen, exceptional attention to detail, and a collaborative mindset. This is a remote position that can be based anywhere in the United States, but the successful candidate will be expected to adhere to Eastern time zone work hours.

Key Responsibilities
  • Draft, review, and negotiate various contracts, including but not limited to healthcare provider agreements, vendor contracts, research agreements, consulting agreements, confidentiality agreements, and other relevant contracts as required.
  • Provide legal advice and support on business transactions, ensuring compliance with applicable federal and state laws and regulations, including procurement requirements, Stark Law, Anti-Kickback Statute, HIPAA, and other relevant regulatory requirements.
  • Collaborate with various departments, including clinical, administrative, research, commercial, and compliance teams, to ensure legal and regulatory compliance in all contractual matters.
  • Develop and implement policies and procedures related to contract management and business transactions to ensure efficiency and compliance.
  • Assist with contract management record-keeping and systems.
     
Required Qualifications
  •  Juris Doctor from an accredited law school
  • Admission to and maintenance of good standing with a State Bar
  • 2+ years of legal experience in contracts and business transactions; experience within pharma, biotechnology or healthcare preferred but not required.
  • Proven experience in drafting, reviewing, and negotiating contracts.
  • Expertise in editing documents, tracking changes, and exceptional attention to detail.
  • Excellent analytical, organizational, and communication skills.
  • Ability to work collaboratively with different teams and manage multiple priorities in a fast-paced environment.
  • High ethical standards and a commitment to maintaining confidentiality and integrity in all legal matters.
